ARTICLE I – Introduction
We, the undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons having a common interest in Amateur Radio constitute ourselves the Carolina DX Association, hereinafter called CDXA, enact this constitution as our governing law. It shall be our purpose to so conduct club programs and activities as to advance the general interest, knowledge and welfare of amateur radio.
ARTICLE II – OFFICERS
Section 1. – Officers
The officers of CDXA shall consist of a President, Vice-President, Secretary-Treasurer, Newsletter Editor, Contest Manager, Packet Cluster Manager, and W4 QSL Bureau Manager, all of whom comprise the Executive Committee.
Section 2. – Duties
President: The president shall be the Chairman of the Executive Committee, shall preside at all meetings of the CDXA and shall conduct such meetings in accordance with the rules and regulations adopted by the CDXA
Vice President: The Vice President shall assume all the duties of the President in the absence of the President.He shall also secure programs and make all arrangements for the regularly scheduled meetings.
Secretary-Treasurer: The Secretary-Treasurer shall have the normal clerical and record-keeping responsibilities and shall report the financial condition of the CDXA to the Executive Committee as requested. from the membership, appointed by the President, which will audit the financial condition of the CDXA on an annual basis.
Newsletter Editor: The Newsletter Editor shall have the responsibility of collecting news concerning DX and other related information. This information shall be published at least quarterly in the newsletter. The executive Committee shall have editorial control of all contents.
Contest Manager: The Contest Manager shall have the responsibility of encouraging participation of members in radio contesting. In addition, the Contest Manager shall ensure proper credentials are presented to sponsoring organizations as to the authenticity of club membership.
Packet Cluster Manager: The Packet Cluster Manager shall have the responsibility of managing the CDXA packet cluster system.
W4 QSL Bureau Manager: The W4 QSL Bureau Manager shall have the responsibility of managing the ARRL's fourth call area single letter prefix incoming QSL card service.
Section 3. – Tenure
The term of office for all officers of the CDXA shall be for one year commencing January 1.
Section 4. – Vacancies
A vacancy in any office shall be filled immediately at a specially called election or at the next regularly scheduled meeting following the vacancy.
Section 5. – Qualification
Officers shall be full members of the CDXA in good standing and eighteen (18) years of age or older.
Section 6. – Removal from Office
Any officer may be removed from office by majority vote of the members.
ARTICLE III – EXECUTIVE COMMITTEE MEMBERS
The business and affairs of the CDXA shall be managed by the Executive Committee which consists of the seven elected officers.
ARTICLE IV – MEETINGS
Section 1. – General
Regularly scheduled meetings shall be decided by the Executive Committee and published thirty (30) days in advance to the membership. Meetings shall be held nominally once each quarter throughout the calendar year.
ARTICLE V – ELECTIONS
Section 1. – General
Officers of the CDXA shall consist of a President, Vice President, Secretary-Treasurer, Newsletter Editor, Contest Manager, Packet Cluster Manager, and W4 QSL Bureau Manager. These officers shall be elected from the membership by simple majority vote. Officers shall be elected for a period of one (1) year and any officer may succeed himself.
Section 2. – Time
The election shall be held during the last quarterly meeting of each calendar year.
Section 3. – Standing Rules
Robert’s Rules of Order Revised will be used for parliamentary procedure.
ARTICLE VI – AMENDMENTS
The Bylaws may be amended by a majority vote of the membership. to the Secretary-Treasurer prior to the next meeting and shall be voted on at that meeting, provided all members have been notified of the intent to amend the Bylaws at said meeting. Article VII of these Bylaws is irrevocable and cannot be amended.
ARTICLE VII – DISSOLUTION
Section 1. – Dissolution
In case of dissolution of CDXA, no member or group of members will receive any benefit from the assets. All remaining assets after all debts are clear shall be donated to a nonprofit organization which is exempt for income tax purposes.
ARTICLE VIII – MEMBERSHIP
Section 1. – Eligibility
Members of the CDXA shall adhere to “The Amateur’s Code” as published from time to time in The ARRL Handbook for Radio Amateurs. Full membership shall consist of those valid licensed amateur operators approved for membership by the Executive Committee, having an interest in promoting amateur radio, and having paid the annual membership dues. In the event that any licensed amateur operator is denied membership by the Executive Committee, such decision of the Executive Committee may be overruled at any regularly scheduled meeting by a majority vote of members attending.
We, the Executive Committee, being in complete accord and agreement with these Bylaws as set forth in this document, do attest by our signature.
